3. User Eligibility and Registration

General Requirements

  • You are responsible for maintaining the confidentiality of your account

For Professionals

  • Must have a minimum of 15 years of professional experience
  • Must provide truthful information about qualifications and background
  • Subject to our verification and approval process
  • Must maintain professional standards and conduct

For Organizations

  • Must be a legitimate business entity or organization
  • Must have authority to enter into agreements on behalf of your organization
  • Must provide accurate project requirements and budget information

4. User Conduct and Prohibited Activities

5. Platform Fees and Payment Terms

Fee Structure

  • Organizations: Pay platform fees only upon successful engagement of a professional
  • Professionals: Retain 85-90% of project earnings, with platform fees deducted
  • No upfront costs for either party to join the platform

Payment Processing

  • All payments processed through secure third-party providers
  • Organizations responsible for payment to professionals as agreed
  • SecondActPro facilitates payment processing but is not responsible for payment disputes
  • Platform fees are non-refundable except in cases of documented platform error

Tax Responsibilities

  • Users are responsible for their own tax obligations
  • We may provide tax documents as required by law
  • Professionals are considered independent contractors, not employees

6. Matching and Introduction Services

Our Role

SecondActPro serves as a matching platform and does not:

  • Guarantee successful matches or project outcomes
  • Act as an employment agency or staffing firm
  • Supervise or direct the work of professionals
  • Assume responsibility for the quality of services provided

User Responsibilities

  • Organizations: Accurately describe project requirements and provide fair compensation
  • Professionals: Deliver services as agreed and maintain professional standards
  • Both parties: Communicate directly regarding project details, timelines, and expectations

Platform Limitations

We do not guarantee:

  • Availability of suitable professionals for every project
  • Successful completion of any project or engagement
  • Compatibility between matched parties
  • Specific response times for matches or applications

7. Intellectual Property Rights

Platform Content

The SecondActPro website, including text, graphics, logos, and software, is owned by SecondActPro, LLC and protected by copyright and trademark laws.

User Content

  • Users retain ownership of content they submit
  • By submitting content, you grant us a license to use it for platform operations
  • Users are responsible for ensuring they have rights to submitted content
  • We may remove content that violates these Terms or applicable law

Work Product

  • Intellectual property created during professional engagements belongs to the contracting parties
  • SecondActPro claims no ownership of work product from user relationships
  • Users must resolve IP disputes directly with each other

8. Privacy and Data Protection

Limitation of Liability

Force Majeure
